Charter and Escrow instructions
The following is the Charter aad Escrow Instructions prepered by the Railroad
Committee and adopted by the Mass Meeting.

Charter.
ARTICLE ONE.
The name of this corporation shall be The Hereford, North & South Railway Company, by which it
■hall contract and be contracted with, sue and be sued, and transact all of its business.
ARTICLE TWO
This corporation is formed for the purpose of surveying, locating, grading, building, constructing, own-
ing, maintaining and operating a standard gauge railway from a connection with the Pecos & Northern Texas
Railway Company at the City of Hereford, Deaf Smith County, Texas, in a north and northwesterly direction
through the counties of Deaf Smith and Oldham to a connection with the Rock Ialand in said last named county.
The length and distance of said railway shall not exeeed 50 miles.
ARTICLE THREE
Said corporation shall exist for a period of fifty years, commencing with and from date of filing of these
articles in the office of the Secretary of State of the State of Texas.
ARTICLE FOUR
The capital stock of said company shall be ONE HUNDRED AND FIFTY THOUSAND ($150,000)
DOLLARS, divided into 1500 shares of the par value of $100 (ONE HUNDRED DOLLARS) each.
ARTICLE FIVE
The business of said corporation shall be transacted by NINE Directors, who shall be stock holders in
said corporation, and shall be elected annually by the stock holders, on the ...Monday of
ARTICLE SIX
The following named stock holders are hereby selected to be Directors of the corporation for the first
year .••••• each and all of whom are residents of the State of Texas.
Escrow Instructions.

I hereby deliver you my subscription for shares of stock in the Hereford, North & South
Railway Company, also two notes payable to The Hereford Commercial Club (also a Deed of Trust on the
lands described therein securing the payment of said notes) or a collateral note with collateral security; and you
are instructed to keep and hold said stock subscription nctes and securities until such time as the entire capital
stock of such corporation shall have been subscribed and paid in, either in cash or notes, and if in notes
or partially in notes, then you are instructed to keep and hold such subscription and notes and securities until
such time as the Directors of the Hereford Commercial Club shall have examined said notes and shall have
pronounced said notes good, solvent and collectable, but if the entire capital stock is not subscribed for and paid
in either in cash or in good solvent notes and pronounced so by resolution of the ^oard of Directors of the said
Club within ninety days from the First day of April, 1910, then said stock subscriptions, notes and securities will
become void and you are instructed to return same to me, time being of the essence of this instruction.
You are further instructed that if within 120 days from the first day of July, 1910, The Hereford Com-
mercial Club shall pay or cause to be paid, to you . _ _ Dollars,
then you will deliver to said club the aforesaid notes and securities, but if said Club does r.ot pay to you the
said amount within 120 days from said last named date, then the aforesaid stock subscription, notes and securi-
ties shall become void, time being of the essence hereof, and you are instructed to return same to me, unless on
or before the said 120 days from the said last named date there has been paid into the three banks of Hereford,
Texas, on stock subscription, an aggregate of $100,000 in cash, or unless notes given by other parties on stock
subscription to said Company have been cashed for a sufficient amount equal the said $100,000 and the said
amount deposited in the three banks of Hereford, or in any one of them, it being understood that if the entire
capital stock is subscribed and paid for as as heretofore provided, and $100,000 in cash, either paid by subscrip-
tions or realized on the sale of said notes, or a part of them, at par, then the stock subscriptions, notes and
secureties accompanying these instructions shall be void, but should the notes herewith delivered be sold as
provided herein and within the time herein provided for the sale, and the said $100,000 is not deposited in the
said band as and when provided herein, then the said notes shall not be sold for less than par and the proceeds
of such sale shall be returned to me in cash.
It is understood that the notes herewith delivered with the stock subscriptions payable to the said Club
are executed by me in trust to said Club for the purpose of paying for the stock subscribed by me, the certifi-
cates of which should be issued to me ut such time as said railroad shall have constructed its line.
