In our last article we discussed how the law views corporations inorder that we
could better grasp the nature of this thing called "a corporation." In this article we
will briefly discuss procedures used in forming a Texas Corporation.
As set forth in the Texas Business Corporation Act, articles of incorporation are
prepared, executed in duplicate originals and filed with the Secretary of State in
Austin along with a requried filing fee of $100.00. Once the articles of
incorporation have been received by the Secretary of State, they are reviewed to
determine if the articles comply with the minimum requirements of the statutes.
Some of the requirements are as follows:
1. The corporate name must contain the word "corporation",
"company", or incorporated" or an abbreviation of one or such
words and that it is not the same or deceptively similar to any
other corporate, reserved or registered name;
2. a period of duration must be stated;
3. a corporate purpose must be stated;
4. the address of the initial registered office and the name of a
registered agent must be given;
5. the names and addesses of the persons who are to serve intially
as directors must be stated;
6. a description of the authorized capital of the corporation must
When the articles are received by the Secretary of State they are marked with the
date of receipt. If approved, one of the executed duplicate originals is permanently
recorded. A certificate of incorporation is attached to the other duplicate original
and returned to the incorporators or their representative. As far as the State of
Texas is concerned, the corporation begins its existence when the certificate is
issued. However, there are other requirements that must be accomplished such as
the preparation and adoption of by-laws at the organizational meeting of the initial
board of directors, and the issuance of stock certificates. The Texas Business
Corporation Act further requires that a corporation have at least $1,000.00 of
capital paid in before it commences business or incurs any indebtedness. The
$1,000.00 may be in the form of either a stated capital or capital surplus, and must
consist of money, labor done, or property actually received. Furthermore, a
corporation is not organized and capable of conducting business in its own name
until by-laws are adopted.
These are but a few of the matters with which one must concern himself with
inorder to start a corporation. It is highly recommended that any person seeking to
form a corporation consult with a competent attorney. An attorney can save you
time and energy particularly during the initial stages, and properly launch the
corporation while tending to all the miscellaneous matters involved.
