S.B. No. 1442
1 limited partner;
2 (H) a transaction or other matter involving an
3 actual or potential conflict of interest;
4 (I) an amendment to the partnership agreement or
5 certificate Of formation;
6 (J) if the limited partnership is qualified as an
7 investment company under the federal Investment Company Act of 1940
8 (15 U..C. Section 80a-1 et seq.), as amended, any matter required
9 by that Act or the rules and regulations of the Securities and
