| ORDINANCES OF THE SHAREHOLDERS
! in the Property of the Galveston City Company.
BE IT REMEMBERED, That in pursuance of
general notice by the Trustees for the sale of Stock, as
, published in the newspapers of Texas and of the United States, a
Í general meeting of the Stockholders of the property of Galveaton
I City, was organised and held in the City of Galveaton, on the thir-
i teem b day ol April in-the year of our Lord one thousand eight hun«
| dred and thirty eight, and continued by adjournment, on the 14th
j of the same month; whereat Samuel Whiting being first appointed
! Chairman and Robert D.Johnson Secretary, the following Ordi-
f nances and Resolutions in regard to the future government and
management of the righte and interesta of the Stockholders in the
Galveston .City Company, were proposed, debated and adopted by
a majority of the Stockholders and those representing them, who
were present, viz:
Ordinance 1st.—Be it ordained by the stockholders of Galveston
City in general meeting assembled, that the care and control of the
entire interests and property, embracing, the league and labor of
land upon which the City is'placed, be, and the same ia confided to
a committee consisting of a President and four Directors, whoahall
be styled the Board of Directora of the Galveston City Company,
who shall be in the first instance, elected and chosen by the Share-
holders, during the preseut meeting, and hereafter at the annual
meeting of the shareholders by a majority of vote?, and who shall
continue iu office for one year, or until their successors are appoin-
ted, exccpl the President and Directors now to be chosen by this
meeting, who shall hold their offices until the first Monday of No-
vember next, and until their successors shall be appointed; and if
vacancies occur by death or resignation they shall have power to
fill their own body until the next annual meeting of the Share-
holders.
Ord. 2d.—Be it further ordained, that the Board of Directors
shall hold stated meetings in the City of Galveston, on the first
Mondays in February, May, August and November, and occasion-
al meetings whenever the President of the Board shall deem it ad-
visable. Any three of the five members shall constitute a quorum,
at any regular meeting, and in the absence of the President, any
one of the Directors may be chosen to preside. And the said Board
of Directors shall also have power to appoint a Clerk, with such
compensation aa they may deem right, whose duty it shall be to
j embody and record faithfully in a book to be kept for that purpose,
all thd proceedings and transactions oi the-Board, for the informa-
tion of shareholders at their annual meetings.
Ord. 3d.—Be it further ordained, That there shall be held an I
annual meeting of the shareholders on the first Monday in Novem-
ber, for the election of a Directory, for examining the accounts of
the Agent and the Directors duriiic the preceding year, and for
making such alterations and modifications in these Ordinances as
the shareholders may deem expedient. Allquestions in th/bsid
meetings to be determined and decided by dtfejority of the votes
given in person or by proxy.
Ord. 4th.—Be it further ordained, That the Board of Directora
shall have power to lay off the whole of the land belonging to the
Shareholders, into lots of such sise as they may deem proper, and
to sell and convey by deed in fee simple to the purchasers, snch
portions of the said lots or land as they may think advantageous, oa
such terms as they [the Boerd Of Directors,1 shall agree upon by a
majority of their number at some staffed meeting. '
Ord 5 th.—Be it further ordained, That theBoard of Directors
shall appoint an Agent, allowing for his services snch annual salary
as they shall deem reasonable, whose duty it shall be to attend per-
sonally the carrying into effect of the foregoing ordinance, under
the order and direction of the Bo$rd of Directors, and abo to con-
tract and pay for the building of wharves, making surveys, and
such other works or services as u the opinion of Board will con-
duce to the general interest. And the said Agent shall be required
to make out a statement or report to th« Board *f Direetora, mt each
of their staged meetings, of all- the sales made during the quarter
preceding, iIm of ths actual receipts and disbursements for the
same period; and he shall moreover, at each annual meeting of the
Shareholders, make out and present a condensed and full statement
of the general interests of the Company.
Ord. 6th.—Be it further, ordained, That the Board of Directors

shareholders shall direct, or the use and benefit o i the share-
holders.
After which the following resolutions were passed:
lit.—Resolved, That upon an election held by the shareholders is
the Galveston City Company, Michael B. Menard, having the
highest number of votes for the office, is hereby declared duly
elected President of the Board of Direetora of said Company, and
Messrs. Thomas F. McKinney, Sarnúel M. Williams. Moseley Ba-
ker and John K< Allen, having in like manner the greates number
of votes, are hereby declared duly elected Directors of the Couipam
aforesaid.
2d .—Resolved, That the Board of Directors are hereby instruct-
ed and required, at some early day, to malto an application to the
Congress of the Republic, for a Charter of incorporaltou of the
shareholders in the property of Galveston City, embracing sush
provisions as they shall deem expedient for the general intereat,
and such as sre usual in such instruments.
3d.—Resolved, That the Notary for the Island of Galveston be
requested to certify, in official form, the eight foregoing Ordinan-
ces with this and the two preceding Resolutions, and that the same
be published ia the Telegraph at Houston, for general information.
