183.10. Review Committee Procedures.
(a) Review Committee quorum.
Two-thirds of the Review Committee con-
stitutes a quorum for the transaction of
business. The affirmative vote of a simple
majority of those present shall be necessary
for any action to be taken. No vacancy in
the membership of the Review Committee
shall impair the rights of a quorum to exer-
cise all rights and perform all duties of the
fund.
(b) Term of Review Committee
members. Review Committee members
serve a term of one year. This term is
extended or shortened at the discretion of
the small business division director and
upon notification to all Review Committee
members.
(c) Review Committee meeting
schedule. Meetings of the Review Commit-
tee are held at the call of the small business
incubator fund manager.
(d) Conflict of interest provision for
Commerce board and Commerce employ-
ees. Any board member, or employee of the
department who has, will have, or later
acquires an interest, direct or indirect, in
any transaction involving an application
scheduled to be reviewed by the Review
Committee shall be bound by the conflict of
interest provisions stated in Texas Civil
Statutes, Article 6252-9b and shall immedi-
ately disclose the nature and extent of such
interest as soon as he or she has knowledge
of such actual or prospective interest. Upon
such disclosure, such member or employee
shall not participate in any action by the
Review Committee, department, or board
authorizing such transaction.
(e) Conflict of interest provision for
Review Committee members. Any Review
Committee member who is not an employee
of the department who has, will have, or
later acquires an interest, direct or indirect,
in any trasaction involving an application
scheduled to be reviewed by the Review
Committee shall immediately disclose the
nature and extent of such interest in writing
to the department as soon as he or she has
knowledge of such actual or prospective
interest. Upon such disclosure, such mem-
ber or employee shall not participate in any
action taken by the Review Committee
which directly or indirectly affects that in-
terest.
1183.11. Personal Liabiity of Members or
Persons Acting on Behalf of the Depart-
mernt.
(a) A member of the board, the Re-
view Committee, or other person acting on
behalf of the department t in executing a
contract, commitment, or agreement under
these rules is not personally liable an the
cotract, commitment, or agreement.(b) A member of the board, the Re-
view Committee, or other person acting on
behalf of the department is not personallyliable for damage or injury resulting from
performance of duties under these rules.

The Texas Department of Commerce (Com-
merce) proposes the repeal of 190.
1-190.4, concerning procedures of the board.
The sections proposed for repeal, were
adopted by a predecessor agency of Com-
merce and are now obsolete.
Bruce W. Anderson, general counsel, has'
determined that for the first five-year period
the repeals are in effect there will be no fiscal
implications for state or local government as
a result of enforcing or administering the re-
peals.
Mr. Anderson, also has determined that for
each year of the first five years the repeals
are in effect the public benefit anticipated as
a result of enforcing the repeals will be the
deletion of obsolete material. There wil be no
effect on small businesses. There is no antici-
pated economic cost to persons who are re-
quired to comply with the repeals as
proposed.
Comments on th proposal may be submitted
to Bruce W. Anderson, General Counsel,
P.O. Box 12728, Austin, Texas 78711, within
30 days after the date of this publication.
The repeals are proposed under the Texas
Government Code, Chapter 481, which pro-
vides Commerce with the authority to adopt
