An open letter to John E. Critzas, President, 12th Armored
Division Association; President, Memorial Museum Foundation
Dear John,
Congratulations on your election as President of the 12th
Armored Division Association. I trust you will find our Constitution
and By-Laws helpful during your term of office.
During the 56th Annual Reunion in Myrtle Beach, SC, numerous
discussions were held among, and between, various members, from
a number of the units of the Association. The subject was the
Memorial Museum Foundation. It was generally agreed to have this
matter discussed in this forum rather than bring it up on the floor of
a General Meeting which, it was anticipated, an unproductive-
emotional discussion would have taken place.
One of the leading questions is - Will you continue to serve as
President of both the Association and the foundation board? There
is a consensus that your serving in both capacities at the same time
would be a conflict of interests for the obvious reasons.
Then there is the action the Executive Council took at its Oct. 4,
2001, meeting in Abilene, TX - approving the following as
reported in the December 2001 issue of the HCN, page 21.
"(1) The 12th Armored Memorial Museum Foundation.
(2) Appointment of three Association members to the Foundation
Board.
(3) Action taken by the Foundation Board in accepting the debt
incurred by Abilene Christian University.
(4) Establishing control mechanisms for all expenditures, etc."
The membership has great concern that the Council acted on the
above without any authority to do so. There is nothing in the
Association Constitution or its By-Laws that gives any Officer or
the Executive Council authority to take this action. The Association
Constitution and By-Laws regulate all die business transacted within
the Association. Nowhere does any authority appear that gives the
Council the permission to take the action it did on Oct. 4, 2001.
Consequently, requesting the general membership to approve the
action of die Council in this matter is null and void as it was based
on an unauthorized action of the Council. As a matter of record, the
current Executive Council should take the necessary action to delete
the action of the Council on Oct. 4, 2001.
There is also the question as to why this action was requested of
the Council when, at the General Meeting of the Association on
Oct. 30, 1999, you announced the formation of the Foundation
Board, that it has seven members including yourself F. George
Hatt, and Bob Hoeweler and three positions, not named individuals
but POSITIONS, from ACU, and a member of the Abilene
Annual Dues Notice
As our association ages and controlling costs become
more and more important, your Executive Council decided
that we would no longer send notices of dues payable nor
would we be sending the annual membership cards.
That means that this notice, which you will see printed in
the Hellcat News during November and December will be
your ONLY reminder of your annual dues to be paid by Jan.
1, 2003.
The constitution requires the executive secretary to drop
your name from the membership roster if your dues are not
paid. The simple answer is a Lifetime dues for only $75.
Remember, no dues, no Hellcat News! So, sit down and
write your check now!
