ARTICLE III
MEETINGS AND EXECUTIVE COUNCIL
Section 1. MEETINGS
The annual meeting of the membership
of the corporation shall be held on the
second day of the annual reunion unless
another date is designated by the Executive
Council. The president may convene as
many sessions during the reunion as he
deems necessary to transact the business
affairs of the corporation.
Section 2. EXECUTIVE COUNCIL
The management and administration of
the business and affairs of the corporation
and the right to establish its policies shall
be vested in the Executive Council. The
president of the association is presiding
officer of the Executive Council and may
convene as many sessions of the Executive
Council during the annual Reunions of the
Association as he deems necessary. The
Executive Council shall comprise of the
following members: - president, two vice
presidents, treasurer, the immediate past
president and eight (8) directors.
Section 3. QUORUM
For all duly constituted meetings of the
membership, a quorum shall consist of
those members present in person. For
meetings of the Executive Council, a
quorum shall consist of at least five (5)
members present in person.
Section 4. SPECIAL MEETINGS
Special meetings may be called upon
request of a majority of the Executive
Council or at a special request of ten (10)
percent of the membership in good stand-
ing. No special meeting will be convened
prior to thirty (30) days after the member-
ship has been duly notified in writing of
such a meeting by the Secretary.

Section 3. OFFICER TENURE
[a] President
No person shall be elected to the office of
President for more than three (3) consecu-
tive one (1) year terms.
[b] Director-at-large
A Director-at-Large may not be re-elected
to fill his own vacancy on the Executive
Council.
[c] Directors
Directors elected by Unit Groups may not
serve more than two (2) consecutive terms.
Section 4. DUTIES OF OFFICERS
[a] President
The president shall preside at all meet-
ings of the corporation and shall perform
such other duties as are usually incident to
his office, or as may be required by the
Executive Council. It shall further be his
duty:
(1) To appoint all members to all stand-
ing and special committees;
(2) To make a written report of the
corporation at the annual meeting of
membership.
(3) To make such appointment or
appointments of person or persons
to edit, publish and circulate, prior to
the first of each month, the official
publication of the association, known
as the "Hellcat News."
[b] First Vice President
In case of the absence or disability of the
President, the First Vice President shall
perform all the duties of the President. It
shall further be his duty:
(1) To develop and supervise campaigns
to maintain and increase member-
ship;
(2) To assist in obtaining the reinstate-
ments of lapsed membership.

[c] Second Vice President
In case of the absence or disability of the
President and First Vice President, the
Second Vice President shall perform all the
duties of the President. It shall further be
his duty:
(1) To promote an interest in future re-
union sites among the membership;
(2) To maintain an up-to-date fist of
possible reunion cities and hotel
accomodations;
(3) To recommend reunion sites at
least two years in advance to the
proper committee of the associa-
tion. To serve as chairman of reun-
ions site committee.
[d] Treasurer
It shall be the duties of the treasurer to:
(1) Receive all dues of the members
and all other moneys that may be
received by or paid to the corpora-
tion and deposit in a bank of his
selection to the account of "The
12th Armored Division Associa-
tion;"
(2) To submit a written report of the
affairs of the Corporation at the
first session of the annual meeting
of the membership. To pay all bills
contracted by the corporation; how-
ever, no obligation will be paid with-
out obtaining written approval of
the President to do so; and, no ex-
penditure of One Hundred Dollars
(100.00) or more will be made on any
one item or project without the
majority approval of the Executive
Council;
(3) To provide such bond, at associa-
tion expense, as may be required by
the Executive Council;
(4) To invest surplus funds as directed
by the Executive Council;
(5) To take those steps necessary to
assure that the President of the
corporation will have access to all
