NOTICE OF PUBLIC AUCTION
By order dated February 11,2013, the Hemp-
hill County Commissioners Court, pursuant to
§263.001 of the Texas Local Government Code
(§263.001) and other authority, ordered that cer-
tain real property (subject property) generally
known as the Hemphill County Juvenile Deten-
tion Facility Boot Camp shall be sold by Hemphill
County (County and Grantor) by public auction
to the purchaser (Grantee) at 10:00 am on March
20, 2013 at the Commissioners Court Meeting
Room in the Hemphill County Courthouse, 400
Main Street, Suite 202, Canadian, Texas 79014,
and said subject property is hereby described as
all that certain tract or parcel of land, being and
situated in Hemphill County, Texas, containing
22.89 acres, more or less, more particularly de-
scribed by metes and bounds in that certain War-
ranty Deed, dated December 7, 1994, executed
by Sugar Sand, Inc. to Hemphill County, Texas,
of record in Volume 374, Page 214 of the Deed
Records of Hemphill County, Texas, and being all
or part of BLOCKS I through 4 and 17 through
20, Connell and McAdams Second Addition to
the Town of Canadian, Texas, and being out of
Section 77, Block 42, Houston & Texas Central
Railway Company Survey, Hemphill County,
Texas, described by metes and bounds as fol-
lows: commencing at the most Southerly Corner
of said Block 17, thence, 15.0 feet, N 42° 10’ E,
(assumed and base bearing from the Atchinson,
Topeka and Santa Fe Railway Right-of-Way map)
to an iron rod set for the most Southerly Corner
and POINT OF BEGINNING of this tract herein
described; THENCE, N 47° 50’ W, parallel with
and 15.0 feet, Northerly, from the North line of
Panhandle Avenue, at 660.0 feet pass the West-
erly line of said Block 4, continuing a total dis-
tance of 720.0 feet to an iron rod set for the most
Westerly Corner of this tract; THENCE, N 42°
10’ E, parallel with and 60.0 feet Westerly from
the Westerly line of said Blocks I through 4, a dis-
tance of 1385.0 feet to an iron rod set for the most
Northerly Corner of this tract; THENCE, S 47°
50’ E, 720.0 feet, along the Northerly line of said

Easterly Corner of said Block 20 on the Westerly
line of Gilmer Street for the most Easterly Cor-
ner of this tract; THENCE, S 42° 10’W, 1385.0
feet, along the Easterly line of said Blocks 17
through 20 and the Westerly line of said Gilmer
Street to the PLACE OF BEGINNING and con-
taining 22.89 acres more or less. A copy of said
deed is attached to said order, and the contents
of said deed and order are incorporated by refer-
ence. The subject property shall be sold at public
auction pursuant to the following manner of sale,
public notice, form of conveyance, exclusions and
exceptions from sale, and inspection rights:
The following specified property (excluded
property) located on or in the subject property
shall be excluded and exempted from the sale,
and shall not be conveyed by Grantor to Grantee:
(I) the f i re trai ni ng tower; (2) al I f i re trai ni ng struc-
tures and containers; and (3) all personal proper-
ty and non-fixture equipment owned by Grantor
or under its control. The subject property shall
be sold and conveyed by Grantor to Grantee by a
deed without warranty, and said deed shall re-
flect that: (I) County shall be allowed 60-days
from the date of a completed sale to enter the
subject property to remove said excluded prop-
erty from the subject property; and (2) the
Grantor reserves all rights regarding the removal
of said excluded property from the premises of
the subject property. The subject property shall
be sold and conveyed by Grantor to Grantee by a
deed without warranty, and said deed shall re-
flect that the conveyance is subject to the follow-
ing reservations from conveyance: the excluded
property, as defined above. The subject property
shall be sold and conveyed by Grantor to Grantee
with the following exceptions to conveyance: (I)
validly existing easements, rights of way, and pre-
scriptive rights, whether of record or not; (2) all
presently recorded and validly existing restric-
tions, reservations, covenants, conditions, oil and
gas leases, mineral leases, and water interests
outstanding in persons other than Grantor, and
other instruments, other than conveyances of the
surface fee estate, that affect the property; (3)
validly existing rights of adjoining owners in any
walls and fences situated on a common bound-
ary; (4) any discrepancies, conflicts, or shortages
in area or boundary lines; (5) any encroachments
or overlapping of improvements; (6) ad valorem
taxes for the current year, and prior and subse-
quent years, if assessed, due and owing, which
Grantee shall assume and agree to pay due to
change in land usage, ownership, or both—in-
cluding without limitation the tax liens currently
existing against the subject property in favor or
the Canadian Independent School District, as de-
scribed by the public records of said school dis-
trict and the Hemphill County Appraisal District,
the contents of said records being hereby incor-
porated by reference, and said liens being further
described as (a) in the minimum amount of
$72,621.55 including penalty, interest, and attor-
ney’s fees (with penalty and interest accruing dai-
ly) alleged by said records to be for the 2004 and
2012 tax years, and (b) in the minimum amount of
$802.96 including penalty, interest, and attor-
ney’s fees (with penalty and interest accruing dai-
ly) alleged by said records to be for 2004, 2005,
and 2012 tax years; and (7) all rights, obligations,
and other matters arising from and existing by
reason of that certain Site Ground Lease Agree-
ment (ground lease), dated April 1, 2005, origi-
nally executed by Hemphill County, Texas, Les-
sor, to Capitol Towers, Ltd., original Lessee, as
currently assigned to GTP Towers I, LLC, current
Lessee, and further, that certain Assignment and
Assumption of Ground Lease (assignment), dated
December 16, 2008, executed by Capitol Tow-
ers, Ltd, Assignor, to GTP Towers I, LLC, Assign-
ee and current Lessee, said ground lease and as-
signment instruments relating to a portion of the
subject property, containing .13 acres, more or
less (and including a certain 15-foot Access and
Utility Easement pertainingto said ground lease),
more particularly described by metes and bounds
in the copies of said lease and assignment instru-
ments attached to said commissioners court or-
der, and further, as a condition of the conveyance
of the subject property, Grantee shall be required
to accept in all things the obligations of Grantor as
Lessor in said lease and assignment, through an
assignment by Grantor to Grantee of said Lessor
obligations and rights under the lease and previ-
ous assignment. The subject property shall be
sold and conveyed by Grantor, and accepted by
Grantee, by a deed without warranty, and said
deed shall reflect the following “As Is, Where Is”
language: GRANTEE IS TAKING THE PROP-
ERTY IN AN ARM’S-LENGTH AGREE-
MENT BETWEEN THE PARTIES. THE
CONSIDERATION WAS BARGAINED ON
THE BASIS OF AN “AS IS, WHERE IS”
TRANSACTION AND REFLECTS THE
AGREEMENT OF THE PARTIES THAT
THERE ARE NO REPRESENTATIONS OR
EXPRESS OR IMPLIED WARRANTIES.
GRANTEE HAS NOT RELIED ON ANY IN-
FORMATION OTHER THAN GRANTEE’S
INSPECTION AND THE REPRESENTA-
TIONS EXPRESSLY CONTAINED IN THIS
DEED. GRANTEE RELEASES GRANTOR
FROM LIABILITY FOR ENVIRONMENTAL
PROBLEMS AFFECTING THE PROPERTY,
INCLUDING LIABILITY (I) UNDER THE
COMPREHENSIVE ENVIRONMENTAL
RESPONSE, COMPENSATION, AND LIA-
BILITY ACT (CERCLA), THE RESOURCE
CONSERVATION AND RECOVERY ACT
(RCRA), THE TEXAS SOLID WASTE DIS-
POSAI ACT, AND THE TEXAS WATER
CODE; OR (2) ARISING AS THE RESULT
OF THEORIES OF PRODUCT LIABILITY
AND STRICT LIABILITY, OR UNDER NEW
LAWSORCHANGESTO EXISTING LAWS
ENACTED AFTER THE EFFECTIVE DATE
OF A PURCHASE CONTRACT OR COM-
PLETED SALETHATWOULD OTHERWISE
IMPOSE ON GRANTORS IN THIS TYPE
OF TRANSACTION NEW LIABILITIES
FOR ENVIRONMENTAL PROBLEMS AF-
FECTING THE PROPERTY.THIS RELEASE
APPLIES EVEN WHEN THE ENVIRON-
MENTAL PROBLEMS AFFECTING THE
PROPERTY RESULT FROM GRANTOR’S
OWN NEGLIGENCE OR THE NEGLI-
GENCE OF GRANTOR’S REPRESENTA-
TIVE. Pursuant to said order, the undersigned
Hemphill County Commissioner has been ap-
pointed to conduct and perform the sale on be-
half of the County in compliance with the law.
Should the undersigned Hemphill County Com-
missioner be unavailable or unable to do so, the
Honorable Mark Meek, County Commissioner,
Precinct 3, Hemphill County, Texas, was alterna-
tively appointed to conduct and perform the sale
on behalf of the County in compliance with the
law. The purchase price for the subject property
shall be paid to Hemphill County by: (I) cash
(United States currency only); or (2) cashier’s
check or money order (drawn on or issued by a
financial institution located in the United States of
America). The purchase price for the subject
property shall be tendered by the purchaser to
the County: (I) at the conclusion of the public
auction; or (2) at County’s sole discretion, within
3-business days after conclusion of the public
auction should the existence, sufficiency, and va-
lidity of cash or negotiable instrument tendered
to support the bid need to be confirmed and veri-
fied by the County. The County reserves all rights
to: (I) reject any or all bids at public auction; (2)
confirm and verify the existence, sufficiency, and
validity of cash or negotiable instrument ten-
dered to support a bid made at public auction;
and (3) continue the public auction, from day to
day, as necessary, in order to complete the auc-
tion and sale, and/or confirm and verify the exis-
tence, sufficiency, and validity of cash or negotia-
ble instrument tendered to support a bid made at
the auction. The minimum opening bid at the
public auction for the subject property shall not
be less than $ 165,000. The County shall not pay
closing costs or surveying expenses, or furnish or
pay for title insurance, in connection with the sale
and conveyance of the subject property. Public
notice of the sale of the subject property by pub-
lic auction shall be given by the County in the
manner required by §263.001 and other authori-
ty. Prospective bidders may inspect the subject
property during regular county business hours,
beginning on February 19, 2013 at 9:00 am local
time, through and including March 19, 2013 at
5:00 pm local time, pursuanttoscheduled inspec-
tion appointments. Prospective bidders desiring
to conduct an inspection of the subject property
shall first contact the following public office to ob-
tain the scheduling of an inspection appointment:

auction, prospective bidders may inspect and ob-
tain a copy of the bid packet (at no charge) regard-

subject property) from the office of the Hemphill
Countyjudge, at the address/telephone number
herein described.
