Article I—Name and Headquarters
Location
1. —The name of this organiztaion
is the Council of Women.
2. —The headquarters of this coun-
cil shall be located in the city of
Mercedes, State of Texas.
Article II.—Object
1,—The object of this council
shajll be the mutual improvement
of its members, the welcoming of
newcomers and enlisting co-opera-
tion in all that pertains to the good
of/the community.
Article III—Membership
1.—Members of this council shall
be divided into two classes, viz: Ac-
tive members. Associate members.
Article IT.—Officers
1. —The officers of this council
shall be: President, first vice-pres-
ident, second vice-president, third
vice-president, recording secretary,
corresponding secretary, treasurer,
parliamentarian, press reporter.
2. —The officers of this cpuncil
shall be elected^annually by ballot
at the first meeting in March.
3. —The officers of this council
must be chosen from among the ac-
tive members.
Article Y—Meetings
1.—This council shall meet in reg-
ular session on the first Wednes-
day in each March, June, September
and December.
Article VI.—Departments
1. —This council shall be composed
of the following departments: Lit-
erary, Art, Music, Civics, Philanthro-
py and Legislative.
2. —New departments may be added
at the discretion of the executive
committee.
Article ATI—Amendments
1.—This constitution may be
amended at any regular meeting of
the council by a vote of two-thirds
of the members present, provided
.however, that said proposed amend-
ments shall have been read at the
meeting previous to the meeting at
which the amendment is to be voted
upon.

Membership in this council may
be attained by any reputable person
simply by makting application for
membership and payment of dues to
the secretary.
2. —Active members shall be com-
posed of persons, residents of Mer-
ceries and vicinity, who shall con-
sider themselves in honor bound to
perform active work in the council.
3. —-Associate members shall be
composed of persons, residents of
Mercedes and vicinity, who shall be
entitled to all of the privileges of
the council except those of voting
and holding office.
Article IL—Dues
1. —All members shall pay annual
dues of twenty-five cents. These
dues shall ■ be payable to the secre-
tary in advance at annual meeting
in March.
2. —Each club of each department
shall make adequate provision fox
its expense.
3. —Should any member or Associ-
ate member fall in arrears in the
payment of their dues and continue
in arrears until after the June meet-
ing, the name of such person shall
be dropped from the council roll un-
til such time as the dues in arrears
have been paid.
4. —Should any member or asso-
ciate member be dropped from the
roll of the council for nonpayment
of dues, the name of -that member
shall also be dropped from the l'olls
of each club of each department to
which they belong until such time
as council dues in arrears shall be
paid.
Article III.—Duties of Officers
1. —The president of the council
shall preside at all of its meetings
and conduct them by formal order
of business. She shall deliver an an-
nual address and perform the other
duties usually belonging to the of-
fice.
2. —The vice-presidents of the
council, in the order of their elec-
tion, shall fulfill the duties of the
president in the absence of that of
ficer.
3. —The first vice-president shall
be chairman of the committee in
charge of the literary features which
shall be rendered at the regular
meetings of the council.
4. —The second vice-president shall
be chairman of the membership com-
mittee whose duties it shall be to
seek newcomers, increase the mem-
bership. and to serve as a reception
committee at the regular meetings.
5. —The third vice-pi-esident shall
be the chairman of the social com-
mittee and shall have charge of the
social features of the regular meet-
ings.
6. —The recording secretary of the
council shall keep the minutes ot
the -council meetings and adso of
the meetings of the executive com-
mittee read them at the following
meeting of the council, receive all
membership dues, receipt for® them
and turn them over to the treasurer.
She shall prepare a detailed order
of business for the use of the pres-
ident.
7. —-The corresponding secretary
shalf receive, read to the council and
answer all letters relating to the
affairs of the council. She shall
conduct all genex-al correspondexice
of the council.
8. —The treasurer shall receive,
collect, hold and pay out all of the
council’s money subject to the or-
der of the council. She shall keep
a correct account in detail of all
moneys x-eceived and expended by
her and shall render her import at
the annual meeting in writing. She
shall submit her books to the aud-
iting committee two weeks before
the annual meeting.
9. —The parliamentarian shall rule
on any question of order at the re-
quest of the president or by order of
a majority vote of the council.
10. —The press reporter shall have
published such matters regarding
the affairs of the council as shall
be of public interest.
Article IV,—Standing Committees
1. —The executive committee, ’i he
l’egulai'ly elected president, first vice-
president, second vice-president,
third vice-president, recording secre-
tary, corresponding secretary, treas-
urer, parliamentarian, press report-
er and chairman of each separate
department of this council shall con-
stitute the executive committee with
the power vested in them to eexecute
any general business necessary to
the proper conduct’ of the council’s
affairs.
2. —The auditing committee shall
be composed of three active mem-
bers of the council, and be elected
at the annual xneeting it shall be
their duty to receive the books from
the treasurer two weeks before the
annual meeting, audit fttem, and
make a report of such audit at the
annual meeting.
3. —The department committed
shall be composed of six active mem-
bers of the council, one member to
head each department of the council,
whose duty it shall be to organize
clubs that might be requested in
each department by any five active
members.
4. The committee of which the
first vice-president is the head shall
have under its care the literary fea-
tures which shall be rendered at the
regular meetings of the council. This
committee shall be composed of
three active members.
5. ;—The Membership Committee
shall be composed of seven active
members and they shall have as
their duty the seeking of newcomers
ihe increase of the membership, and
they shall also serve as a reception
committee at the regular meetings.
6. —The Social Committee shall be
composed of three active members of
the council who shall have charge
of thfe' social features of the regular
meetings. They shall have the pow-
er. to appoint additional members on
this committee for service for any
one meeting.
Article V.—Quoroum, Special Meeting
and Order of Business
1. —Fifteen members of this coun-
cil shall constitute h quorum at any
meeting.
2. —A special meetixxg may be call-
■ ■d by the president of this council,
provided the consent of the execu-
tive committee has first been ob-
tained.
3. —A special meeting of this coun-
cil must b'e called by the president
of any seven members, provided each
of the seven members is in good
staxxding at the tixue of the request.
4. —The order of business at each
regular .session of the council shall
be' as follows:
(a) Call to order.
(b) . Reading of the minutes.
(c) . .Reports of standing commit-
tees.
(d>. Reports of special commit-
tees.
(o). Unfinished business.
(f) . Ne,w' business.
(g) . Program and social hour.
Article YI.—Amendments and Sus-
pension of By-Laws
1. —The by-laws may be amended
or changed at any regular meeting
Of the council by a majority vote
of the members present, . provided
notice of such amendment or change
lias been read at the meeting previ-
ous to the xneeting at which amend-
ment or change is to be voted xxpon.
2. —The by-laws as a whole or axxy
particular portion of them may be
suspended during the course of any
one meeting by a vote of a majori-
ty of the members, present at that
meetixig.
Article Yll.—Rules of Order.
1.—Iix all questions involving par-
liamentary procedure, Roberts Rules
of Order shall be the governing au-
thority.
Article Ylll.—Elections of Standing
Committees
1.—- Members of all standing com-
mittees not previously provided for
in these bylaws shall be elected from
fhe active membership of the council
at. the annual meetings.
Article IX.—Eligibility „of Officers',
1.—The president of the council
shall not hold any other office in
the organiation.

tion with the civic work.
A motion was made and carried
that the association follow the reg-
ular custom of buying medals for
the winning contestants at the tract
meet who are eligible to go to Aus-
tin. Mr. Carey was appointed to or-
der the medals.
Upon a l'eport from the nominat-
ing committee the following officers
were elected for the ensuing year:
