in the event that the treasurer
should become disabled;
(6) To establish a reserve fund of three
thousand ($30000.00) dollars as of
September 1, 1960. No withdrawal
shall be made from this fund with-
out the approval of two-thirds (2/3)
of the membership of the Executive
Council at the annual meeting of the
corporation. Additional deposits
may be made to this fund at any
time upon the direction of the Presi-
dent or Executive Council. However,
once made no withdrawal may be
made except as outlined in this by-
law.
(7) To provide an estimate of income and
expense for the fiscal year ending
June 30, as a guide for the conduct
of the Association for said fiscal
year, this being an annual budget.
[e] Executive Secretary
The Executive Secretary shall be respon-
sible for the records of the corporation and
the Executive Council, and at the discretion
of the President, shall act as Secretary to
both bodies. It shall further be his duty:
(1) To maintain custody of the books
and papers of the corporation and the
Executive Council;
(2) To attend to all correspondence that
is required of the corporation and the
Executive Council;
(3) To maintain a current file and record
of all members of the association
and their addresses;
(4) To edit, publish and circulate prior to
the first day of each month the offi-
cial publication of the association,
known as "The Hellcat News.";
(4a) At his discretion, the President may
appoint another member of the as-
sociation to act as Editor of the
Hellcat News. The remuneration for

this duty will be determined by the
Executive Council;
(5) To send out notices and perform all
duties incident to his office, and
such other duties as may be required
of him by the Executive Council;
(6) To forward to the corporation's treas-
urer at timely intervals, which in no
event shall exceed one (1) month, all
checks and monies received on the
behalf of the corporation;
(7) To provide such bond, at association
expense, as may be required by the
Executive Council.
[f] Reunion Chairman
The Reunion Chairman shall make all
provisions necessary to hold the annual
reunion of the association. He may appoint
any committees necessary to assist him in
arranging the annual reunion.
[g] Historian
The Historian shall collect and preserve
any historical data relative to the 12th
Armored Division, or any additional duties
to which he may be assigned by the
Executive Council.
[h] Directors
All directors will be members of the
Executive Council and shall perform such
duties as may be assigned by the President.
Section 5. PAID EMPLOYEE
The Executive Secretary shall be the only
paid officer or employee of the corporation.
He shall receive such pay and allowances as
may be determined by the Executive Council.
ARTICLE V
ANNUAL REUNION-FISCAL YEAR
Section 1. DATE OF REUNIONS
The date of the annual reunion of the
association will be set by the Reunion
Chairman with the concurrence of the
President. The date will be announced no
later than the November issue of "The

of the 12th Armored Division for at least one
(1) day between the dates of its activation
and its deactivation, or of any unit which
was officially attached to said 12th Armored
Division during said period, is eligible for
membership in the 12th Armored Division
Association.
Section 2. ASSOCIATE MEMBERSHIP
A spouse and children of a living or
deceased member of the 12th Armored
Division, and persons who have demonstra-
ted an interest in the perpetuation of the
name of the 12th Armored Division, may be
accepted into membership in the Associa-
tion upon application to the Executive
Secretary and approval of a membership
committee comprised of the President,
Executive Secretary, and Unit Representa-
tive of the unit with which he/she will be
associated.
Section 3. HONORARY MEMBERSHIP
A member who has made an outstand-
ing contribution to assure the perpetuation
of the 12th Armored Division Association
may be elected to this class of membership
by the unanimous vote of the Executive
Council and a two-thirds vote of the
membership at the regular meeting of the
corporation.
Section 4. DUES
Annual dues shall be assessed each
member of the corporation as determined by
the Executive Council.
Section 5. VOTING
Each bonafide member is entitled to
vote in a general election, ballot, or
referendum. Such voting privileges are not
provided for Honorary, or Associate Mem-
berships.
