TNP Enterprises Acquisition Gains Final Approval
FORT WORTH - TNP Enter-
prises, Inc. announced Tuesday the
completion of all needed approvals
for its pending acquisition by a pri-
vate investor group. TNP is the
holding company for Texas-New
Mexico Power Company.
The approval process concluded
at the end of the day Monday when
the 20-day appeal period ended on
the final order issued Feb. 22 by the
Public Utility Commission of Texas.
The commission order approved
the acquisition but was subject to
appeal.
Final approval was effective in
New Mexico on Feb. 17. Previously,
the transaction had received ap-
provals from shareholders, the
Federal Energy Regulatory Com-
mission and the Federal Trade
Commission.
Under the terms of the proposed
transaction, an investor group will

acquire the holding company, and
TNMP will remain a stand-alone
utility. TNP shareholders will re-
ceive $44 per share in cash when
the transaction is completed. The
transaction will convert TNP from
a publicly held company to a pri-
vately held one.
“We’re very pleased that we were
able to build the support needed to
get approval of this acquisition as
quickly as we did,” said Kevern
Joyce, TNP chairman, president
and CEO. “When we announced the
acquisition last May, there was a
certain amount of skepticism that
we could deliver an approved plan.
Today, we re delivering.”
Based on Monday’s approval,
TNP Enterprises and the investor
group expect to close the transac-
tion on April 7. Within a few days of
the acquisition becoming final,
shareholders will receive a letter of
transmittal with instructions on
remitting their shares in exchange
for $44 per share.

Partners LLC, leads the investor
group, which also includes CIBC
World Markets and other financial
institutions.
Texas-New Mexico Power Com
pany was created in 1935 and pro
vides community-based electric
service to 85 cities and more than
233,000 customers in Texas and
New Mexico. It has 823 employees
companywide.
