Summary of Decision. The taxpayer contended that the
resolution of its board of directors to pay salary bonuses
and to pay amounts to its profit sharing trust created le-
gally enforceable debts at the time the resolution was
passed. The comptroller held that the board's decision
was made after the employee's services were rendered,
and was therefore made without consideration. The tax-
payer's assets/surplus/taxable capital should not be
reduced for franchise tax purpos-s.
